Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the AmoraOS platform, including its dashboard, APIs, and related tools (collectively, the "Service"), operated by AMORA OS TECH COMPANY, LLC, a Wyoming limited liability company ("AmoraOS," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.

Please have counsel review. These Terms are a strong starting draft. We recommend a qualified attorney review and finalize them before you rely on them for enforcement.

1.Acceptance & Eligibility

You may use the Service only if you are authorized by AmoraOS and have been issued credentials. Access is granted to specific businesses and their authorized personnel. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2.License to Use

Subject to these Terms, AmoraOS grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your internal business purposes. This license conveys no ownership. All rights not expressly granted are reserved by AmoraOS.

3.Restrictions

You must not, and must not permit or assist any third party to, do any of the following.

4.Intellectual Property

The Service, and all software, code, designs, interfaces, text, graphics, logos, trademarks, and other materials that make it up, are the exclusive property of AmoraOS and its licensors and are protected by copyright, trademark, trade secret, and other laws. Nothing in these Terms transfers any such rights to you. Feedback you provide may be used by AmoraOS without restriction or obligation.

5.Confidentiality

The Service includes non-public features, workflows, interfaces, and technical information that constitute confidential information and trade secrets of AmoraOS. You agree to keep such information confidential, to use it only as permitted by these Terms, and not to disclose it to any third party. This obligation survives termination.

6.Accounts & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access or use. We may suspend access to protect the Service or its users.

7.Customer Data & Privacy

Data you or your customers submit to the Service remains yours; you grant AmoraOS the rights necessary to host and process it to provide the Service. We handle personal information in accordance with our Privacy Policy. You are responsible for having the rights and consents needed for the data you provide.

8.Termination

We may suspend or terminate your access at any time, with or without notice, including for any breach of these Terms. Upon termination, your license ends and you must stop using the Service and destroy any materials obtained from it. Sections that by their nature should survive (including Restrictions, Intellectual Property, Confidentiality, Disclaimers, and Limitation of Liability) survive termination.

9.Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AmoraOS does not warrant that the Service will be uninterrupted, error-free, or secure.

10.Limitation of Liability

To the maximum extent permitted by law, AmoraOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms. Our total liability for any claim will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the claim.

11.Indemnification

You agree to defend, indemnify, and hold harmless AmoraOS from any claims, damages, liabilities, and expenses arising from your use of the Service or your breach of these Terms.

12.Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Wyoming, and you consent to their jurisdiction.

13.Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use of the Service after changes take effect constitutes acceptance.
